Terms & Conditions
These Terms & Conditions govern the managed cold email service provided by Anthony Martin, an individual based in Paris, France, trading as EarlyThought ("EarlyThought", "I", "me"). By engaging the service, you ("you", "the client") accept these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
Who you're dealing with
The service is operated by Anthony Martin, an individual established in Paris, France, under the trade name EarlyThought. Contact: anthony@earlythought.com. EarlyThought is not currently incorporated; these Terms are entered into with Anthony Martin personally.
The service
EarlyThought runs cold email campaigns end to end on your behalf: defining the target profile, building and verifying lists, preparing aged domains and warmed inboxes, writing the copy, sending the campaigns, and handling replies in a shared inbox.
The service is sized for a baseline of 10,000 emails a month. Volumes above that are agreed in writing before sending.
The service is a managed execution service. It does not include your CRM, your product, or closing deals. Apart from the guarantee in section 4, no specific number of meetings, opportunities, or revenue is promised.
Fees and payment
- The fee is the amount shown on the pricing page at the time of booking, excluding VAT where applicable. Fractional GTM fees are payable monthly in advance; Signature campaign fees are payable in full before launch.
- Payment is by bank transfer or card. Fractional GTM invoices are issued at the start of each month; Signature is invoiced before launch.
- For Fractional GTM, there is no minimum term. The engagement continues month to month until terminated under section 11.
- If an invoice is overdue by more than 7 days, sending may be paused until it is settled. Work resumes once payment clears.
- Fees cover the service as described. Third-party costs that you choose to add (for example, extra domains or tools outside the stack) are agreed and billed separately.
The guarantee
If you receive fewer than five positive replies per 5,000 decision-makers contacted in your first 30 days, the next month is free.
The guarantee applies to Fractional GTM engagements. Signature campaigns carry no reply guarantee.
A positive reply is a reply from a prospect that asks for details or asks for a meeting. Rejections, out-of-office replies, bounces, and automatic responses do not count. Every reply is visible in the shared inbox, so the count is verifiable at any time.
The guarantee applies provided that: the target profile and lists are approved before sending starts; you provide the access and information reasonably needed; and the volume planned for the month is actually sent. If a delay is caused by missing approvals or information on your side, the 30-day window starts when sending actually begins.
The free month is the sole remedy for missing the guarantee. It applies once per engagement.
Your responsibilities
- Give an accurate brief: what you sell, who buys it, and what a good reply looks like.
- Approve the target profile and the copy before sending starts, and answer approval requests within 2 business days.
- Confirm that you have a lawful basis to contact the prospects targeted, and that the campaign complies with the anti-spam, privacy, and electronic-communications rules that apply to you (including the GDPR and the ePrivacy Directive where applicable).
- Keep your contact details and invoicing information current.
- Do not ask for targeting or content that would breach section 6.
Acceptable use
The service may not be used for unlawful, deceptive, or harmful campaigns. This includes fraud, phishing, malware, impersonation, harassment, adult content, gambling, and the sale of illegal products or services.
EarlyThought may refuse a target, a list, a domain, or a piece of copy that creates a legal, deliverability, or reputational risk, and may pause a campaign until the issue is resolved. If the issue cannot be resolved, either party may terminate under section 11.
Data protection
For the prospect data used in your campaigns, you act as the data controller and EarlyThought acts as a processor, acting only on your instructions and only to provide the service.
Prospect data is used to run your campaigns and for nothing else. It is not sold, and it is not used to build lists for other clients.
On termination, or on your written request, the data is returned to you or deleted, except where retention is required by law.
Replies and campaign activity are kept in a shared inbox that you can access at any time.
Intellectual property
The copy, angle, and campaign assets created for you become yours once the corresponding invoice is paid. EarlyThought keeps ownership of its methods, templates, tooling, and infrastructure.
You keep ownership of your brand, your product information, and the data you provide.
Confidentiality
Both parties keep confidential the information the other shares for the engagement: target lists, copy, results, pricing, and any business information that is not public. This obligation survives termination.
Liability
EarlyThought provides the service with reasonable skill and care, in line with these Terms.
To the extent permitted by law, EarlyThought is not liable for indirect or consequential losses, including lost profits, lost revenue, or loss of opportunity.
The total liability of EarlyThought under these Terms is limited to the fees paid in the three months preceding the event giving rise to the claim. The guarantee in section 4 is the specific remedy for missed reply targets.
Termination
Either party may terminate the engagement with 30 days' written notice, effective at the end of the current billing month.
Either party may terminate immediately for a material breach that is not remedied within 7 days of written notice, or for non-payment under section 3.
On termination, sending stops, lists and campaign data are returned or deleted under section 7, and invoices already issued remain payable.
Changes, law, and contact
These Terms may change with 30 days' written notice. Continuing the engagement after that date means accepting the updated Terms.
These Terms are governed by French law. Any dispute is subject to the courts of Paris, France.
